End User License Agreement

1Agreement Overview

This End User License Agreement ("EULA") is a legal agreement between you ("User") and CLASSARK regarding your use of the CLASSARK software platform, including all associated web interfaces, features, and services (collectively, the "Software").

By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree, you must not use the Software.

2License Grant

Subject to your compliance with this EULA and payment of any applicable subscription fees, CLASSARK grants you a limited, non-exclusive, non-transferable, revocable licence to:

• Access and use the Software through a supported web browser for your personal or internal educational purposes
• Create, view, and interact with course content in accordance with your assigned user role
• Download or export content that is explicitly made available for download by the platform

This licence does not include any right to sublicense, sell, resell, or commercially exploit the Software or its content.

3Restrictions

You may not, and may not permit others to:

• Copy, modify, adapt, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software to build a competitive product or service
• Access the Software by any means other than through the interface provided by CLASSARK
• Share access credentials or allow multiple individuals to use a single account
• Use automated tools (bots, scrapers, crawlers) to access, extract, or interact with the Software without our written consent

4Ownership

The Software and all intellectual property rights therein are and remain the exclusive property of CLASSARK. This EULA does not convey to you any ownership interest in the Software. All rights not expressly granted in this EULA are reserved by CLASSARK.

User-generated content (course materials, submissions, uploads) remains the property of the respective user or organisation, subject to the licence granted in our Terms of Service.

5Updates and Modifications

CLASSARK may, at its sole discretion, update, modify, enhance, or discontinue any part of the Software at any time without prior notice. Updates may be applied automatically and may change the functionality or appearance of the Software.

You agree that CLASSARK has no obligation to maintain backwards compatibility or to continue providing any specific feature or functionality.

6Third-Party Components

The Software may incorporate or interface with third-party software components, services, or APIs. Such third-party components are governed by their own licence terms. Key third-party services used include:

CLASSARK is not responsible for the availability, accuracy, or content of third-party services.

7Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLASSARK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CLASSARK DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR THAT DEFECTS WILL BE CORRECTED.

8Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CLASSARK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software.

CLASSARK may also terminate or suspend your access to the Software at any time for any reason, including but not limited to breach of this EULA or non-payment of applicable fees.

10Governing Law

This EULA shall be governed by and interpreted in accordance with applicable law. Any legal action arising from this EULA shall be brought in the courts of competent jurisdiction.

If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.
