Terms of Service
1Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the CLASSARK platform operated by CLASSARK ("we", "us", or "our"). By creating an account, accessing the platform, or clicking "I agree", you agree to be bound by these Terms.
If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2Accounts and Access
Account Creation
Accounts may be created by administrators on behalf of users (teachers, students, assistants) or by individuals signing up directly. You are responsible for maintaining the confidentiality of your login credentials.
Account Responsibility
You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
Account Accuracy
You agree to provide accurate, current, and complete information when creating or updating your account and to keep it up to date.
Support Access
You acknowledge and agree that authorised CLASSARK support staff may access your account and account data, including content you have submitted, for the purpose of providing technical support, troubleshooting issues, and maintaining the security and integrity of the platform. See our Privacy Policy for more detail on how this access is handled.
3Subscriptions and Payment
Access to CLASSARK is provided through subscription plans. By selecting a plan, you agree to pay the applicable fees as described on our Pricing page.
Payments are processed by Paddle.com Market Limited ("Paddle"), our authorised reseller and Merchant of Record. When you purchase a subscription, you are transacting with Paddle, not directly with CLASSARK. Paddle handles all payment processing, invoicing, and applicable tax collection on our behalf.
- Subscriptions are billed on a recurring basis (monthly or annually, depending on your plan) until cancelled.
- You authorise Paddle to charge your payment method on each billing cycle on our behalf.
- Prices may change with at least 30 days' prior notice. Continued use after a price change constitutes acceptance.
- Applicable taxes are collected and remitted by Paddle in accordance with local tax laws.
Each plan includes an allowance of enrolled students, assistant seats, and shared storage, as shown on the Pricing page. These allowances are not enforced as hard technical caps — the platform will not block you from adding students, assistants, or content once an allowance is reached, so the running of your courses is never interrupted. In return:
- We monitor account usage against the subscribed plan. Occasional or modest overages — as a guideline, up to roughly 15% above your plan's student allowance — are tolerated and will not, on their own, trigger enforcement.
- Usage that materially or persistently exceeds your plan beyond that margin is a breach of these Terms. We will normally contact you first to arrange an upgrade.
- If the overage is not resolved by upgrading to an appropriate plan or reducing usage, we may charge for the additional usage and/or suspend or terminate the account in accordance with our Acceptable Use Policy.
For cancellation and refund terms, see our Refund Policy.
4User Roles and Conduct
CLASSARK supports multiple user roles: Admin, Teacher, Co-Teacher, Assistant, and Student. Each role has specific permissions on the platform.
You agree not to:
- Use the platform for any unlawful purpose
- Upload, post, or transmit content that is illegal, harmful, defamatory, obscene, or infringes on any third-party rights
- Attempt to gain unauthorised access to any part of the platform or other users' accounts
- Interfere with or disrupt the integrity or performance of the platform
- Share your login credentials or allow others to use your account
- Scrape, crawl, or otherwise extract data from the platform without our written consent
Violations may result in immediate suspension or termination of your account.
5User Content
You retain ownership of any content you upload or create on the platform ("User Content"), including course materials, lesson content, quiz questions, and assignment submissions.
By uploading User Content, you grant CLASSARK a limited, non-exclusive, royalty-free licence to store, process, stream, distribute and display your content solely to the extent necessary to operate the platform and provide the service to you and authorised users in your courses.
You represent and warrant that your User Content does not infringe any third-party intellectual property rights and that you have all necessary rights to grant the above licence.
6Intellectual Property
The CLASSARK platform, including its design, software, branding, and all content created by CLASSARK, is owned by us and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the platform or our proprietary content.
The CLASSARK name, logo, and associated marks are trademarks of CLASSARK. You may not use them without our prior written consent.
7Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the results obtained from use of the platform will be accurate or reliable.
8Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLASSARK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO CLASSARK IN THE 12 MONTHS PRECEDING THE CLAIM.
9Termination
Either party may terminate this agreement at any time. You may cancel your account through the platform settings or by contacting us. We reserve the right to suspend or terminate your account immediately if you breach these Terms or engage in conduct we determine to be harmful to other users or the platform.
Upon termination, your right to access the platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.
10Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.
11Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 14 days in advance via email or platform notice. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
